1. Introduction and Acceptance

1.1 These Terms & Conditions (“Terms”) govern your access to and use of the website operated by Omole, Komolafe & Partners (“OKP,” “we,” “us,” or “our”), including all content, information, features, services and functionality made available through the website (the “Website”).

1.2 OKP is a Nigerian law firm providing legal and business solutions to individuals, businesses, institutions and other clients in Nigeria and internationally.

1.3 By accessing or using the Website, submitting an enquiry, requesting legal services, submitting an application, subscribing to any mailing list or newsletter, or otherwise interacting with the Website, you agree to be bound by these Terms, together with our Privacy Policy, and any other policies or notices incorporated into these Terms by reference.

1.4 If you do not agree to these Terms, please discontinue your use of the Website.

1.5 These Terms govern your use of the Website only. They do not, by themselves, create a solicitor-client relationship, retainer, partnership, agency relationship, fiduciary relationship, or any other professional relationship between you and OKP.

1.6 No information contained on the Website constitutes an offer to provide legal services or a guarantee that OKP will accept any person or organisation as a client.

1.7 If any provision of these Terms is found to be invalid or unenforceable by a court or other competent authority, the remaining provisions shall continue in full force and effect.

2. Use of the Website

2.1 The Website provides general information about OKP, its lawyers, practice areas, legal and business advisory services, publications, insights, events, opportunities and other activities.

2.2 The Website may also enable users to submit enquiries, request consultations, communicate with the Firm, submit applications or expressions of interest, and access legal and business-related publications and resources.

2.3 You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of OKP or any third party, or restrict or inhibit the use and enjoyment of the Website by any other person.

2.4 You must ensure that any information you provide through the Website is accurate, complete and not misleading.

2.5 You must not use information obtained from the Website as a substitute for obtaining legal advice on your particular circumstances.

2.6 Access to or use of the Website does not establish a solicitor-client relationship between you and OKP. A solicitor-client relationship will arise only where OKP expressly agrees to act for you in accordance with its applicable client acceptance procedures and, where appropriate, an engagement letter or other written confirmation of instructions.

3. Legal Information and Professional Advice

3.1 The content published on the Website is provided for general informational and educational purposes only.

3.2 Although OKP endeavours to ensure that information published on the Website is accurate and current, laws, regulations, judicial decisions, regulatory requirements and commercial circumstances may change.

3.3 Information on the Website should not be regarded as legal, financial, tax, investment or other professional advice and should not be relied upon as such.

3.4 No communication made through the Website, including an email, enquiry form, WhatsApp communication or other electronic communication, constitutes legal advice or creates a solicitor-client relationship unless expressly confirmed by OKP.

3.5 You should obtain independent legal advice from a suitably qualified lawyer before taking or refraining from any action based on information obtained from the Website.

3.6 Nothing on the Website constitutes a representation or guarantee that the outcome of any legal matter, transaction, dispute, application, regulatory process or other engagement will be successful.

4. Enquiries, Consultations and Applications

4.1 Where you submit an enquiry, request a consultation, request legal services, submit an expression of interest or otherwise contact OKP through the Website, you confirm that the information provided is accurate and complete to the best of your knowledge.

4.2 Submission of an enquiry or request for legal services does not constitute acceptance of instructions by OKP and does not guarantee that OKP will agree to act for you.

4.3 Before accepting instructions, OKP may undertake such client identification, conflict-of-interest, regulatory, risk, anti-money laundering and other checks as it considers appropriate or as required by applicable law or professional obligations.

4.4 OKP reserves the right to decline or discontinue consideration of any enquiry or proposed engagement where, among other things:

(a) a conflict of interest exists or may arise;

(b) the proposed engagement is inconsistent with applicable law or professional obligations;

(c) the Firm does not have the appropriate capacity, expertise or availability;

(d) the information supplied is false, misleading or incomplete; or

(e) the Firm otherwise considers that it should not accept the engagement.

4.5 No legal services shall be deemed to have been accepted merely because OKP acknowledges receipt of an enquiry or communicates with you following submission of an enquiry.

5. Communications

5.1 By contacting OKP through the Website, you consent to receive communications reasonably necessary to respond to your enquiry, request, application or other interaction with the Firm.

5.2 Where you subscribe to an OKP newsletter, mailing list or other non-essential communication, you consent to receive periodic communications concerning legal developments, publications, events, professional updates, services and other information that may be relevant to you.

5.3 You may unsubscribe from marketing or non-essential communications at any time using the unsubscribe mechanism provided in the relevant communication or by contacting OKP through the details provided on the Website.

5.4 Unsubscribing from marketing communications does not affect transactional, legal, administrative or other communications necessary to manage an existing relationship or respond to a request.

5.5 Electronic communications may be subject to risks including interception, delay, alteration, loss or unauthorised access. While OKP takes reasonable measures to protect its communications, it does not guarantee that electronic communications will be completely secure.

6.2 Information submitted through the Website may be subject to applicable data protection and privacy requirements, as described in OKP’s Privacy Policy.

6.3 Submission of confidential or sensitive information through the Website does not, by itself, create a solicitor-client relationship or establish an obligation on OKP to maintain legal professional privilege over that information.

6.4 You remain responsible for ensuring that information submitted by you does not unlawfully disclose the confidential information, personal data, intellectual property or other protected information of another person.

7. Intellectual Property

7.1 Unless otherwise stated, all content on the Website, including text, articles, publications, legal insights, graphics, photographs, logos, trademarks, branding, designs, videos, audio, documents, reports and other materials, is owned by or licensed to OKP and/or its licensors.
